CONSTITUTION and BY-LAWS

ARTICLE 1 - NAME

1.0 - The name of this corporation shall be Collier Fun Flyers, Inc.

ARTICLE 2 - LOCATION

2.0 - The principle location of the Collier Fun flyers shall be in the city of Naples, County of Collier, State of Florida.

ARTICLE 3 - PURPOSE

3.0 - The purpose of the Collier Fun flyers Inc., with the help of the Academy of Model Aeronautics, is to provide a social club with the express purpose of promoting the many aspects of radio controlled Model Airplanes. Foremost among the CFF goals, will be SAFETY.

ARTICLE 4 - BOARD OF DIRECTORS

4 .0 - The Board of Directors shall be five (5) in number. 4.1 - The composition of the Board of Directors shall be as follows; The Club President and Vice President shall be members, and there shall be three (3) Board Members elected from the General membership at large. 4.2 - The President and Vice President shall have a term of one (1) year. 4.3 - The two (2) members at large that receive the most votes shall have a term of two (2) years, and the remaining Member- at- large shall have a term of one (1) year.

4.4 - The primary duties of the Board of Directors shall be to recommend Budgets, Annual dues, initiation Fees, Membership Limits (cap on the Membership either up or down as needed).

Activities, Events, Projects, and long-range goals. 4.5 - All of these shall be voted on by the General membership, per Article 8. 4.6 - The Board of directors shall be given a Petty Cash Fund annually. The amount to be determined by a vote per Article 8. 4.7 - The Board of Directors shall see that annual Audit is conducted. The Audit shall be done by three (3) members at Large, and shall be overseen by the President. 4.8 - In the event that three (3) volunteers cannot be found, then the Club President shall appoint enough Members at large to make up the committee of three (3) to take the Audit.

ARTICLE 5 - DUTIES OF THE OFFICERS

PRESIDENT5.0 - The President shall be the presiding member of the Board of Directors, and General membership meetings. 5.1 - The President shall appoint all members of special or standing committees. 5.2 - The President shall conduct the business of the CFF Club.

5.3 - The President shall not serve more then two (2) consecutive years in the Office of the President.

VICE PRESIDENT5.4 – The Vice President shall conduct the Board of Directors meeting in the absence of the President.

5.5 - In the event the President is out of the city for any length of time, the Vice President will act on the Presidents behalf and carry on the duties of the President.

SECRETARY5.6 - The Secretary shall maintain a record of all transactions of the CFF Club, in accordance with the rules and Regulations applicable to Not-For-Profit Corporations registered in the State of Florida. 5.7 - The Secretary shall issue membership cards, distribute and review Ballots, and generate any correspondence that the president may require.

TREASURER5.8 - The Treasurer shall collect all monies, dues, and special assessments generated by the CFF Club. 5.9 - The Treasurer shall maintain all financial Records of the CFF Club in accordance with the rules and Regulations of Not for profit Corporations in the State of Florida. 5.10 - The Treasurer shall initiate the payment of any and all Expenditures as approved by the Board of Directors or the General membership. 5.11 - All checks issued by the treasurer must also be signed by one other Officer of the CFF Club. 5.12 - The Treasurer shall maintain an up-to-date Roster of the Club Members, and issue it periodically to all members of the Club, as well as seeing that New Members receive one when they have joined the Club.

ARTICLE 6 - COMMITTEES

6.0 - The President, on advice of the Board of Directors, or the General Membership, will appoint Special Committees, and Standing committees. The purpose of these committees will be to formulate, prepare, and direct social activities, Model Airplane flying activities, and functions. 6.1 - Special Committees will be established as needed, and will be disbanded when the need for them is over. 6.2 - The lead member of any Committee will be prepared to report to the officers or the General Membership of the Club, when requested to at a General Meeting.

ARTICLE 7. GENERAL MEMBERSHIP

7.0 - All Members of CFF must be members in good Standing, and are expected to uphold the CFF Constitution, By-laws, and Rules and Regulations. 7.1 - The General membership will vote on all dues and special Assessments recommended by the Board of directors, based on the requirements of the Operating Budget, or as special needs arise. 7.2 - See voting requirements in Article 8.5 7.3 - A non-member may seek to become a Prospective Member by flying at least four (4) sessions on Monday, Thursday, or Saturday at the CFF Club flying field within a thirty (30) day period. 7.4 - After completing at least four (4) flying sessions, a non-member may seek to become a Prospective member by submission of an application with two (2) sponsoring members in good Standing, who have observed at least two (2) flight sessions of the non-member at the Collier Fun Flyers field. The application shall be delivered to the President with pro-rated annual dues. The dues shall be pro-rated by diving the annual dues by twelve (12) and then multiplied by the number of months remaining in the year. The Application may be rejected by the general Membership, in accordance with the voting provisions of Article 8, if the membership limit would be exceeded by acceptance of the application, or for any other reason. 7.5 - A prospective member may not sponsor any non-member for membership or invite a non-member to fly as a guest. 7.6 - After at least six (6) months, a Prospective member shall be voted on for Membership in the CFF Club. 7.7 - All CFF Club members shall be members of either AMA or MAAC. 7.8 - All members shall be required to pay the Annual dues and any special Assessments, as set forth by the Board of Directors and voted on by the General membership. 7.9 - All Dues shall be due on the first (1st) of January of each year, and any member not paid up by the thirty first (31) of January of each year, shall be considered past due and no longer a Member in Good Standing, and shall lose all rights and privileges of the CFF Club. If the member decides to pay during the year he/she shall pay the full years dues regardless of the time of the year; otherwise they must wait until the following year and pay Dues as prorated as In 7.4 and be able to fly from the CFF field. 7.10 - The CFF Club Membership shall be open until such time as the General membership puts a Cap on it or reduces it by attrition. 7.11 - A new Member is expected to uphold the CFF Constitution, By-laws, and Rules and Regulations of the CFF Club. 7.12 - Any Member of the CFF Club whose conduct is in violation of the CFF Constitution, By-laws, or Rules and Regulations, or whose conduct becomes patently offensive to numerous members of the CFF Club, or the proprietors of whatever facility the CFF Club has obtained for use of the Membership, will have such conduct reviewed by the General membership, or in extreme cases by the Board of Directors of the CFF Club in Emergency meeting, for the purpose of informing that individual of that offense , and warning him/her that if such conduct continues, he/she maybe either Suspended or Expelled from the CFF Club. 7.13 - A Suspension or expulsion from the Club may be made by either a majority (50% + 1) vote of the General membership, at a General Membership meeting or in an Emergency meeting of the board of Directors. 7.14 - The expulsion of a member for cause shall result in the forfeiture of any Dues, Initiation Fees, and or Special Assessments already paid. (See Article 8 for voting criteria).

ARTICLE 8 - MEETINGS

8.0 - The Officers of the CFF club shall hold monthly meetings at a time and place designated by them. 8.1 - The meeting shall consist of formal club business, and of social or non-business activities of the club. 8.2 - this Constitution, By-laws, and Roberts Rules of order shall govern the meetings.

8.3 - CFF General business will be decided from a 50 + 1 majority vote of members in good standing at a regular scheduled membership meeting.

8.4 - A Quorum shall be defined as Thirty-Three and one Third (33 1/3 %) of the General membership.

8.5 - All Discussion affecting the Sale or Transfer of Assets of the CFF Club, Number of members, the Expulsion of Existing members, Amendments to the Constitution, and By-laws, Changes in Annual dues, Initiation Fees, and special Assessments, shall be by a Majority (50 + 1) vote of a quorum, of a regular Membership Meeting; after a written notice and written Ballot have been given to all members wither in person or by mail, at least thirty (30) days in advance of the meeting

8.6 - All Ballots must be received at the meeting or before it begins.

ARTICLE 9 - NON-MEMBERS

9.1 - Non-members may fly at the Collier Fun flyers field only in accordance with these By-laws and upon presentation of a current AMA or MAAC membership card to a member in good standing.

9.2 - A non-members opportunity to fly at the Collier Fun flyers flying facility shall be limited to two consecutive weeks within any fifty-two (52) week period. Thereafter the non-member must make application for provisional membership, with payment of pro-rated annual dues, or shall not be eligible to fly as a guest for a period of one year. An exception shall be made for the other RC flying Clubs whose members cannot fly at their fields due t conditions beyond their control and shall be considered hardship cases. The Board of Directors of FCC shall determine the length of time they may fly at the CFF field with no charge.

9.3 - The above rules do not apply to Collier Fun flyers scheduled events in which other Clubs or individuals are invited.
